Quest to Acquire MessageWise Inc. of Ottawa, Ontario To Expand Enterprise
Monitoring Expertise for Microsoft Exchange
IRVINE, Calif., April 25 /PRNewswire/ -- Quest Software, Inc.
(Nasdaq: QSFT - news) announced today the company has signed a
definitive agreement to acquire MessageWise Inc., based in Ottawa,
Ontario, Canada, a leading provider of performance monitoring and
configuration management solutions for Microsoft� Exchange(TM) e-mail
networks.

growing, mission-critical area of Exchange availability. MessageWise's
highly scalable, agentless monitoring architecture allows
organizations to obtain immediate value from the product, often within

expertise beyond Exchange into other important Microsoft services,
including Internet Information Server(TM) (IIS) and SQL Server(TM).

MessageWise's product offerings encompass comprehensive Windows
NT/2000 monitoring as well as configuration auditing. The Messaging
Manager's Assistant(TM) (2MA) monitors, alerts and reports on all
Exchange server metrics to enable the proactive management of response
times, storage, connectivity and server availability. InLook(TM) is a
server auditing and configuration management solution for Exchange
networks that gathers and monitors detailed configuration data across
the enterprise and provides warnings of potential configuration
troubles which could interrupt service, such as misconfigured services
and improper message routing information. InLook provides
administrators with the ability to centrally monitor large,
geographically dispersed networks of Windows servers to ensure
unauthorized changes, such as software updates, do not occur without
their knowledge.

Current MessageWise customers include Bell Atlantic Corp., Eaton

Under the terms of the agreement, Quest will acquire privately-held
MessageWise for a combination of cash and stock totaling approximately
$12 million. The acquisition, which is expected to be completed by the
end of April, will be accounted for as a purchase.
